Terms of Service

These Terms govern your use of the website at joytruepath.com ("the Site"). When you use the Site you are entering an agreement with Joy Truepath Pte. Ltd. (UEN 202205336E, "Joy Truepath", "we", "us"). If you do not agree with these Terms, please do not use the Site.

This is a marketing and informational site. Individual products we publish (TruePath Office, TruePath Recorder, TruePath VPN, Frameviai Studio) are governed by their own end-user licence agreements, which you accept separately when you install or sign up for a product. Where a product agreement conflicts with these Terms, the product agreement controls for that product.

2. Permitted use

You may browse, read, and link to the Site for any lawful purpose, including evaluation, research, journalism, and personal interest. We want the information here to be useful.

You may not:

• Use the Site to break any applicable law in Singapore or in your jurisdiction
• Attempt to break the security of the Site, scan for vulnerabilities, or access systems you are not authorised to access
• Send automated traffic at a volume or rate that meaningfully degrades the Site for other users
• Misrepresent your identity or affiliation with us
• Re-host the Site's content as if it were your own

3. Intellectual property

The Site's text, layout, design system, brand marks, and visual assets are owned by Joy Truepath Pte. Ltd. or licensed for our use. Specifically:

• The names Joy Truepath, TruePath Office, TruePath Recorder, TruePath VPN, and Frameviai Studio are our brands.
• The "JT" mark and the brand colour #1F4FD9 are part of our visual identity.
• Open-source typefaces (Source Serif 4, Geist, Geist Mono) are used under their respective licences and remain the property of their authors.

You may reference the Site or quote short passages with attribution. You may not reproduce the Site in whole, repackage our brand assets, or use our marks in a way that suggests endorsement we have not given.

4. Submissions and feedback

If you send us feedback, ideas, suggestions, or other materials, you grant us a non-exclusive, worldwide, royalty-free licence to use them to improve our products and services. You confirm that the materials are yours to share and that sharing them does not infringe anyone else's rights. We are not obliged to keep submissions confidential unless we agree separately in writing.

5. Third-party links

The Site may link to third-party websites or services. We do not control them and are not responsible for their content, policies, or practices. Visit them at your own risk.

6. No warranty

The Site is provided "as is" and "as available". We make no warranties, express or implied, about the Site, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We try to keep the Site running and the information current, but we do not guarantee uninterrupted access or that every detail will always be up to date.

7. Limitation of liability

To the maximum extent permitted by Singapore law, in no event will Joy Truepath Pte. Ltd., its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, resulting from:

• Your use of, or inability to use, the Site
• Any unauthorised access to or alteration of your transmissions or data
• Any conduct or content of any third party on the Site
• Any errors, inaccuracies, or omissions in the Site's content

Our total aggregate liability for any claim arising out of or relating to these Terms or the Site is limited to SGD 100.

This clause does not exclude or limit liability that cannot be excluded or limited under Singapore law (including liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation).

8. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or are using the Site in a way that harms other users, our infrastructure, or our business. Sections 3 (Intellectual property), 6 (No warranty), 7 (Limitation of liability), 9 (Governing law and dispute resolution), and 10 (Miscellaneous) survive termination.

9. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be referred to and finally resolved by mediation administered by the Singapore Mediation Centre in accordance with its Mediation Procedure. If mediation fails to resolve the dispute within 60 days, the dispute will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force. The seat of arbitration is Singapore. The arbitration tribunal will consist of one arbitrator. The language of the arbitration is English.

The above does not prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction in Singapore.

10. Miscellaneous

Entire agreement. These Terms (together with our Privacy Policy and any product-specific agreements) are the entire agreement between you and us regarding the Site.

Severability. If any provision is found to be unenforceable, the rest remains in effect.

No waiver. Our failure to enforce any provision does not waive our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in a merger, acquisition, or sale of substantially all our assets.

Updates. We may update these Terms as our service evolves. We will reflect updates in the "Last updated" date and, for material changes, give notice on the Site for at least 30 days. Continued use of the Site after the effective date of an update means you accept the updated Terms.
