These Terms govern your use of the website at joytruepath.com ("the Site"). When you use the Site you are entering an agreement with Joy Truepath Pte. Ltd. (UEN 202205336E, "Joy Truepath", "we", "us"). If you do not agree with these Terms, please do not use the Site.

This is a marketing and informational site. Individual products we publish (TruePath Office, TruePath Recorder, TruePath VPN, Frameviai Studio) are governed by their own end-user licence agreements, which you accept separately when you install or sign up for a product. Where a product agreement conflicts with these Terms, the product agreement controls for that product.

We are not obliged to keep submissions confidential unless we agree separately in writing.

The Site is provided "as is" and "as available". We make no warranties, express or implied, about the Site, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We try to keep the Site running and the information current, but we do not guarantee uninterrupted access or that every detail will always be up to date.

To the maximum extent permitted by Singapore law, in no event will Joy Truepath Pte. Ltd., its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, resulting from:

This clause does not exclude or limit liability that cannot be excluded or limited under Singapore law (including liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation).

8. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or are using the Site in a way that harms other users, our infrastructure, or our business. Sections 3 (Intellectual property), 6 (No warranty), 7 (Limitation of liability), 9 (Governing law and dispute resolution), and 10 (Miscellaneous) survive termination.

9. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be referred to and finally resolved by mediation administered by the Singapore Mediation Centre in accordance with its Mediation Procedure. If mediation fails to resolve the dispute within 60 days, the dispute will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force. The seat of arbitration is Singapore. The arbitration tribunal will consist of one arbitrator. The language of the arbitration is English.

The above does not prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction in Singapore.

10. Miscellaneous

Entire agreement. These Terms (together with our Privacy Policy and any product-specific agreements) are the entire agreement between you and us regarding the Site.

Severability. If any provision is found to be unenforceable, the rest remains in effect.

No waiver. Our failure to enforce any provision does not waive our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in a merger, acquisition, or sale of substantially all our assets.

Updates. We may update these Terms as our service evolves. We will reflect updates in the "Last updated" date and, for material changes, give notice on the Site for at least 30 days. Continued use of the Site after the effective date of an update means you accept the updated Terms.
